Role Overview

This role is full-time and based from the London office with flexibility to work remotely 3 days per week. You will be advising clients across both the divisions of Media and Market and supporting the General Counsel on Company Secretarial matters.

We are seeking a commercial lawyer, with a background in commercial contracting, which may include experience of advertising/marketing, leisure, hospitality, e- commerce/technology and intellectual property matters including copyright and trademark protection.

Reporting to the Senior Legal Counsel, Media with a dotted line to the Senior Legal Counsel, Market, you will be responsible for legal matters across all territories in which Time Out operates.

You will oversee a broad variety of legal work supporting business units, advising teams on legal and commercial issues. Commercial awareness is paramount. You will be expected to provide professional, timely, cost-effective, practical legal advice and support, managing risks while facilitating commercial goals.

This position supports all teams within both Market and Media divisions, as well as the Group function of Company Secretarial.

This role drives commercial success and protection of our brand, whilst balancing requirements to comply with relevant laws, regulations and internal policies.

Key Responsibilities

• Day to day essential duties will include reviewing, negotiating, advising on and drafting a large variety of contracts, and assisting and advising Business Leaders with contract negotiations, as well as advising on brand protection, disputes, regulations and laws impacting the business.

• You will be responsible for reviewing, drafting, advising on and negotiating various commercial agreements, including: Market operations agreements, service provider and maintenance agreements, third party supplier/vendor agreements, licensing agreements, venue hire and live event delivery agreements, digital advertising (including programmatic) agreements, custom/creative solutions agreements, e-commerce affiliate agreements, consumer Ts & Cs; online policies and terms and conditions for sites; franchisee agreements, freelancer agreements, IP assignments/licences, tech agreements (including software licenses), consulting agreements.

• Assist the General Counsel with Company Secretarial matters, including liaison and filings with CSC in US, liaison with local service providers in other territories, all Companies House filings and FCA notifications in UK, maintenance of documents required for QCA Code, AIM and listed company regulation.

• Oversee the data privacy inbox and DPO inbox, with assistance from the Paralegal, to monitor messages/notices, draft responses from templates and tailor responses as necessary with direction from Senior Legal Counsel as required.

• Advise on data privacy and commercial compliance issues in the context of customers of Markets and Media (e-commerce) activities;

• Monitor legal team email inboxes and collaborate with legal team members to complete tasks and manage responses to requests from the business leaders, and utilise paralegal support to complete certain tasks.

• Under supervision of the Senior Legal Counsels, provide general legal guidance across the business to any teams within Time Out Group.

• To assist with contract process and signature/storage solutions to ensure effective working procedures in accordance with Time Out’s policies.

• Advise on advertising standards, and local laws and regulation governing consumer competitions and sweepstakes.

• Draft and negotiate various services, consultancy and supply agreements, based on existing templates (for Media and Markets).

• Draft and negotiate Concession Agreements with chefs across Time Out Market’s international portfolio, with all necessary assistance from paralegal.

• Be the point of contact with marketing managers at each Time Out Market in order put contracts in place for various events that are being held at the Time Out Markets.

• Assist Senior Legal Counsel in advising on a variety of regulation affecting Markets on a day to day basis e.g. liquor licensing.
• Assist Senior Legal Counsel, Markets with the continued fast paced roll out of its ‘management agreement’ model.

• Be responsible for the development and delivery of legal resources for the business, such as revising and updating contract templates, conducting training sessions for the business, sharing knowledge of legal and commercial policy changes both to legal and business colleagues.

• Assist with the on-going management of the Group’s trademark related matters: including managing the trademark portfolio, liaising with external trademark attorneys to provide legal advice on trademark related legal issues (including trademark infringement) under US, UK and EU laws.

• Participate in regional and/or global projects and coordinate with Time Out’s owned and operated businesses and teams in Australia, Hong Kong/Singapore, Spain and Portugal, and occasionally provide them with legal advice and support.

• Advise on legal matters related to and contracts with Time Out’s international franchisees throughout the World, liaising with franchisees as required.

• Carry out legal research when necessary.

Skills and Experience

• Qualified lawyer with 3-5 years of proven relevant experience gained in-house or in private practice is required for this role (in-house experience is desirable);
• We will consider candidates qualified in any jurisdiction, as long as they have proven knowledge and experience in relevant industry sectors;
• Education equivalent to US/UK degree level is required;
• Knowledge and experience in commercial contracting, in the media and/or food & beverage/hospitality sectors, is essential;
• Knowledge and experience dealing with trademark and copyright infringement is preferred;
• Excellent oral and written communication skills, with strong attention to detail, is required.
• Specific knowledge and experience of both US and EU data protection and privacy law is desirable.
